E4jConnect Reseller Program

1. Introduction
These are the terms and conditions for joining the E4jConnect Reseller Program (the “Reseller Program” or “E4jConnect Reseller Program”). These terms (the “Reseller Program Agreement” or the “Agreement”) explain how our partnership will operate and define the conditions of our business relationship.
Your application to, or participation in, the Reseller Program constitutes your consent to these terms. By applying to or participating in the Reseller Program, you agree to be bound by the terms of this Agreement. This Agreement is entered into between E4j s.r.l., with registered office in Via delle Cantine 27, Calenzano, Florence (FI), hereinafter referred to as “E4jConnect”, and the applicant, hereinafter referred to as “Reseller” (collectively, “the Parties”). For clarity, the term ‘Reseller’ refers to the party that introduces potential customers to E4jConnect.
2. Reseller Program Application
To join the Reseller Program, you must submit a complete application (the “Application”). The Application must include the following information: full legal name, email address, phone number, Company Name, and Website URL or social media profile. E4jConnect may request additional information in order to evaluate your Application.
In addition to providing the information listed above, applicants must have referred at least one customer to E4jConnect in order to be eligible for the Reseller Program.
Your Application will be reviewed within 14 days of submission. If we accept your Application, you may begin earning commissions for Eligible Customers (as defined later in this Agreement).
If your Application is approved, this Agreement will become effective as of the date you are notified of your acceptance and will remain in effect until terminated in accordance with the provisions set out below. Your continued participation in the Reseller Program depends on your ongoing adherence to the terms of this Agreement. If you do not accept, or cannot comply with, these terms, you must not enroll in the E4jConnect Reseller Program.
E4jConnect retains the right, at its sole discretion, to reject your Application or to discontinue your participation in the Reseller Program at any time.
3. Confidentiality
3.1 Both Parties agree to treat as confidential any technical, commercial, or strategic information received from the other Party, whether disclosed verbally, in writing, or electronically.
3.2 Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing Party and shall be used exclusively for the purpose of carrying out the collaboration described in this Agreement.
3.3 The confidentiality obligations shall remain in effect for a period of three (3) years after the termination of this Agreement.
4. Referral Partner Obligations
4.1 The Reseller agrees to:
- Carry out all marketing and sales activities professionally, in a way that positively represents the Products and upholds the reputation, goodwill, and brand image of E4jConnect;
- Refrain from any deceptive, misleading, or unethical practices that could harm E4jConnect or its customers;
- Provide accurate information to prospective customers and shall not make representations, warranties, or guarantees that are inconsistent with the Products or with E4jConnect’s official communications.
4.2 The Reseller shall be solely responsible for all expenses related to marketing, promotion, or sales efforts, including, without limitation, advertising, events, and online campaigns.
5. Eligibility
5.1 Eligible Client means a customer introduced or referred by the Reseller who meets all the requirements set forth in Section 5 (Eligibility) and for whom the Reseller is entitled to receive commission payments under this Agreement.
5.2 To be considered an Eligible Client, the customer must:
- Be a new client who has never previously used the E4jConnect Services;
- Not be an existing active lead already present in our database;
- Subscribe to the E4jConnect service plan with a minimum duration of six (6) months at the time of purchase;
- Maintain an active subscription to the E4jConnect Services for at least fourteen (14) days, which aligns with the applicable refund period and ensures that the customer does not exercise their right to cancel during such period;
- Be accepted by E4jConnect as a valid new client.
5.3 E4jConnect shall decide, in its sole discretion, whether the introduced customer meets all the requirements to be considered an Eligible Client.
5.4 Any customer who does not meet all of the above conditions shall not be considered an Eligible Client and will not qualify for any commission payment.
6. Commission Recognition
6.1 E4jConnect agrees to recognize the Reseller a commission equal to 10% (ten percent) of the net amount of the first subscription made by each Eligible Client referred by the Reseller to E4jConnect.
6.2 The term “net amount” refers to the total amount paid to E4jConnect by the client, excluding taxes, payment processing fees, and any applicable deductions.
6.3 The same commission rate of 10% shall also apply to any subsequent renewals of the same customer’s subscription.
6.4 The commission amount shall be recalculated on each payment, based on the actual renewal amount paid by the referred customer in each billing cycle.
6.5 In the event that the payment is not renewed, the 10% commission related to this subscription shall cease to apply.
6.6 Payments to the Reseller shall be made by E4j s.r.l. within 30 days from the receipt of a valid invoice, following the confirmation of the relevant payment by the referred customer.
6.7 The invoice must be submitted within a maximum period of twelve (12) months. Any invoice issued or presented after this period shall be deemed invalid and shall not qualify for commission payment.
6.8 Any changes to the subscription amount will accordingly adjust the compensation (commission) due to the reseller.
6.9 A refund can be granted to the customer within the first 14 days after the purchase. In the event of a refund request by the client, no compensation shall be granted to the reseller for the refunded subscription.
6.10 All commissions are calculated and displayed in Euros (€). Commission payments will be issued in Euros via PayPal or Wire Transfer. Any currency conversion applied by PayPal or the receiving bank is the responsibility of the Reseller. The Reseller shall be responsible for all associated transaction charges, including PayPal fees, bank transfer fees, and currency conversion costs.
6.11 The commission plan may be revised periodically. You will be notified of any updates via email. Such changes will immediately take effect upon notification. Your continued participation following any update constitutes acceptance of the revised commission structure and terms.
6.12 E4jConnect reserves the right to suspend, cancel, or adjust any commission payments at our discretion and without prior notice, for any reason, including but not limited to any actual or suspected violation of this Agreement. If any unusual or potentially fraudulent activity is detected in your account, we may withhold commission payments until the transactions can be verified.
7. Term and Termination
7.1 This Agreement shall enter into force on the date of the last signature and remain valid until terminated by either Party with a 30-day written notice.
7.2 Termination of this Agreement shall not affect any commissions already accrued or due at the date of termination.
8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Italy. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the Court of Florence (Tribunale di Firenze).
9. Entire Agreement
This document represents the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior communications or agreements, whether written or verbal.
